The agreement between MackLabs Inc. and every business using the MackLabs platform — accepted in the setup wizard when a workspace goes live.
These Terms of Service (the "Terms") are a binding agreement between MackLabs Inc. ("MackLabs", "we", "us") and the business or organization on whose behalf the MackLabs platform is accessed (the "Customer", "you"). They govern every use of the MackLabs web application, mobile applications, and related services (together, the "Service").
By accepting these Terms, creating or using a workspace, or allowing your personnel to use the Service, you agree to be bound by them. The person accepting represents that they are authorized to bind the Customer. If you do not agree, do not use the Service.
MackLabs provides cloud software for field-service businesses: customer and job management, estimates and invoices, scheduling, timesheets, document generation, and companion mobile apps for crews and administrators. The Service is provided on a subscription basis under the plan agreed with MackLabs.
We may improve, modify, or discontinue features of the Service from time to time. Where a change materially reduces the Service you pay for, we will tell you in advance.
You are responsible for the accuracy of the information in your workspace, for safeguarding sign-in credentials, and for all activity under your workspace's accounts, including your employees' and contractors' use. Notify us promptly of any unauthorized use.
You may not use the Service to break the law, infringe others' rights, send spam, probe or disrupt the Service's security or infrastructure, or resell access to the Service outside your own business.
As between you and MackLabs, you own the business data you and your team put into your workspace — customers, jobs, estimates, invoices, employee records, photos, and documents ("Customer Data"). You grant MackLabs a licence to host, process, transmit, back up, and display Customer Data solely to provide and support the Service.
You are responsible for the lawfulness of Customer Data: that you have the rights and consents (including from your employees) to collect it and to process it in the Service, and that your use complies with privacy law applicable to you, including PIPEDA. MackLabs may use aggregated, de-identified data about how the Service is used to operate, secure, and improve the Service.
The Service — including all software, source code, mobile apps, designs, templates, workflows, documentation, and branding, and every improvement to them, whether or not suggested by a customer — is and remains the exclusive property of MackLabs Inc.. No rights are transferred to you other than the limited licence in these Terms.
You receive a limited, non-exclusive, non-transferable licence to use the Service for your own business during your subscription. You may not copy, modify, distribute, sell, sublicense, reverse engineer, or build a competing product from the Service.
If you give MackLabs feedback, ideas, or suggestions about the Service, MackLabs may use them without restriction or compensation, and all intellectual-property rights in them are assigned to MackLabs.
The Service includes tools for timesheets, scheduling, and workforce documents, but you alone are the employer and operator of your business. Hiring, wages, hours of work, payroll and payroll remittances, workplace safety, employment and labour-law compliance, tax filings, and the accuracy and legal adequacy of documents you generate with the Service are solely your responsibility.
MackLabs provides software only. Nothing in the Service is legal, accounting, payroll, tax, or professional advice, and MackLabs is not a party to any relationship between you and your employees, contractors, or customers.
You will pay the subscription fees for your agreed plan, plus applicable taxes (including HST). Unless agreed otherwise in writing, fees are invoiced monthly and are due on receipt, payable by e-transfer or another method MackLabs agrees to. Fees are non-refundable.
If an invoice remains unpaid, MackLabs may suspend the workspace after notice until the account is brought current. MackLabs may change plan pricing with at least 30 days' notice; continued use after the change takes effect is acceptance of the new price.
Trial workspaces are provided for evaluation and expire automatically at the end of the communicated trial period, at which point access ends unless a paid plan is agreed. MackLabs may retain trial data for approximately 30 days after expiry, after which it may be deleted.
These Terms apply from acceptance and continue until terminated. Either party may terminate with 30 days' written notice. MackLabs may suspend or terminate access immediately for material breach of these Terms, non-payment, or unlawful or harmful use of the Service.
On termination, your licence and access end. On request made within 30 days of termination, MackLabs will make a reasonable export of your Customer Data available; after that period, MackLabs may delete it. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) survive.
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties or conditions of any kind, express or implied — including merchantability, fitness for a particular purpose, and non-infringement. MackLabs does not warrant that the Service will be uninterrupted, error-free, or secure, or that data will never be lost.
Backups are made on a best-effort basis. You are responsible for exporting and keeping your own copies of records that matter to your business.
To the maximum extent permitted by law: (a) MackLabs will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill, even if advised of the possibility; and (b) MackLabs' total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of the fees you paid to MackLabs in the 12 months before the event giving rise to the claim and CAD $100.
These limits apply to every theory of liability — contract, tort (including negligence), statute, or otherwise — and even if a remedy fails of its essential purpose.
You will defend, indemnify, and hold harmless MackLabs Inc. and its directors, officers, and personnel from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: your Customer Data; your use of the Service; your relationships with your employees, contractors, or customers; or your violation of law or of these Terms.
Each party will keep the other's non-public business information confidential and use it only as needed to perform under these Terms. This does not apply to information that is public through no fault of the receiving party, already lawfully known, independently developed, or required to be disclosed by law (with notice where lawful).
MackLabs may update these Terms from time to time. Material changes will be announced in the Service or by email to your workspace owner, with a new version date. Continued use of the Service after a change takes effect is acceptance of the updated Terms; if you do not agree, stop using the Service and terminate under section 9.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, and the parties submit to the exclusive jurisdiction of the courts of Ontario. You may not assign these Terms without MackLabs' written consent; MackLabs may assign them in connection with a merger, acquisition, or sale of the business.
These Terms (together with your agreed plan and pricing) are the entire agreement between the parties about the Service and supersede prior discussions. If any provision is unenforceable, the rest remain in effect; a failure to enforce is not a waiver. Neither party is liable for delay or failure caused by events beyond its reasonable control. Notices to MackLabs go to [email protected]; notices to you go to your workspace owner's email address.
